This website is operated by Relayzero LLC ("Relayzero", "we"). It describes our advisory services and publishes our writing. By using the site you agree to these terms; if you do not agree, do not use the site.
Not advice
Everything on this site is general information. It is not legal, financial, tax, accounting or investment advice, not a recommendation to buy, sell or hold anything, and not an offer or solicitation to buy or sell any security, token or other instrument. It does not take account of your circumstances, and you should take your own professional advice before acting on anything you read here.
Relayzero is not registered as a broker-dealer or investment adviser. Where an engagement involves securities of a privately held company, Relayzero acts as an M&A broker within the exemption from broker-dealer registration in Section 15(b)(13) of the Securities Exchange Act of 1934. Descriptions of past transactions are summaries, and past outcomes are not indicative of future results.
Using this site, sending an inquiry, or booking a call does not create an advisory or client relationship. An engagement begins only when both sides sign an engagement letter.
Where the site is offered
We operate this site from the United States. It is not directed at anyone in a jurisdiction where its publication or use would be contrary to local law or regulation. If you access it from elsewhere, you do so on your own initiative and are responsible for compliance with your own laws.
Intellectual property rights
The site and everything on it, including text, research, data, graphics, logos, design and code, belong to Relayzero or its licensors and are protected by United States and international copyright, trademark and other intellectual property laws. The Relayzero name, logo and related marks may not be used without our prior written permission.
Your license to use the site
We grant you a personal, non-exclusive, non-transferable, revocable license to view the site and share links to it. You may print or save pages for your own personal, non-commercial use, and your browser may cache copies incidentally.
You may not modify, republish, sell or scrape the content, remove copyright or attribution notices, frame or mirror the site, use it to build a competing product or dataset, misrepresent an affiliation with us, or probe, disrupt or interfere with our systems or security. If you breach these terms, this license ends immediately and you must destroy any copies you have made.
Third-party links and embeds
We link to and embed third-party services, including our scheduler, our newsletter and video hosting. We are not responsible for their content or their practices, and your use of them is governed by their terms. A link is not an endorsement.
The site is provided as is
We try to keep the site accurate and current, but it is provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the site is complete, error-free, uninterrupted or secure, or that it is free of viruses or other harmful components; you are responsible for your own device and data protection.
Limitation of liability
To the fullest extent permitted by law, Relayzero and its members, officers and employees are not liable for any indirect, incidental, consequential, special, exemplary or punitive damages, or for lost profits, lost opportunities or lost data, arising out of or relating to your use of, or reliance on, this site, even if we were advised such damages were possible.
To the fullest extent permitted by law, Relayzero's total aggregate liability for all claims arising out of or relating to this site or these terms, regardless of the theory of liability, will not exceed one hundred U.S. dollars (US$100).
Any claim you have arising out of these terms or this site must be brought within one year after the claim arises; after that it is permanently barred.
Some jurisdictions do not allow certain of these exclusions or limits. In those jurisdictions, our liability is limited to the fullest extent the law allows.
Indemnification
You will indemnify and hold harmless Relayzero and its members, officers and employees from any claims, losses and expenses, including reasonable attorneys' fees, arising out of your breach of these terms or your misuse of the site.
Governing law and venue
These terms, and any dispute arising out of or relating to them or your use of this site, are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
Any such dispute must be brought exclusively in the United States District Court for the Western District of Tennessee, Western Division, sitting in Memphis, Tennessee, or, if that court lacks subject matter jurisdiction, in the state courts sitting in Shelby County, Tennessee. You consent to the personal jurisdiction of those courts and waive any objection to venue there, including any argument that the forum is inconvenient. By using the site, you waive your right to a trial by jury, and you agree to bring any claim in your individual capacity only, not as part of a class or representative action.
Changes to these terms
We may revise these terms from time to time. The date at the top of this page reflects the latest revision, and changes apply from the moment they are posted. Continuing to use the site after a change means you accept the revised terms.
General
If any part of these terms is found unenforceable, the rest remains in effect. These terms are the entire agreement between you and Relayzero about your use of this site and supersede anything earlier on the same subject. You may not assign your rights under them; we may assign ours. Our not enforcing a provision is not a waiver of it.
